Overview
The HealthGrid Association, based in France, brings together people from a variety of disciplines to promote awareness and use of Grid technologies in the biomedical sector.
The HealthGrid community emphasizes a strong relationship among the private sector, government agencies, clinicians, and researchers. These connections foster the integration of Grid practices and tools into the fields of biology, medicine, and health. Technologies and techniques come from both academic research and industry. This enables HealthGrid to include scientific tracks with heterogeneous data from the molecular to the population level. While the short-term goal of HealthGrid is to increase awareness of the power of grid technologies, the worldwide use of healthgrids is the ultimate aim.
Its main objectives are:
- To contribute to several European projects, which objectives are to fight serious diseases such as cancers (breast cancers, nephroblastoma) or to create a wide world Grid infrastructure especially thought for researchers;
- To supply highly important information and other services relevant to the members of the association;
- To participate to higher education by giving special Grid training for system administrators and users;
- To promote exchanges between European and international projects;
- To stimulate the emergence of new projects;
- To produce collaborative documents;
- To organise conferences and healthgrids´ workshops;
- To create partnerships in the field of health within Europe and elsewhere in the world;
- To collaborate with humanitarian projects (example of local associations in Burkina-Faso).
Hereafter are listed the main topics that HealthGrid has been working on:
- Definition of requirements for an operational grid infrastructure for health in Europe
- Communication about the need of such a grid infrastructure for health in Europe and worldwide
- Finding funding and lobbying opportunities for the community
- Implication in numerous European and international projects
- Organisation of annual HealthGrid conferences since 2003 to allow face-to-face meetings within the community

Statutes
The statutes of the Association were adopted during the General Assembly held on 2003. Article 4 was modified during the General Assembly held at Geneva during the fifth HealthGrid Conference.
The following presents the translation into the English language of the statutes of the HealthGrid Association. In case of doubt, the French official and signed version of the Statutes is the only valid reference and can be downloaded here.

An association named HEALTHGRID and governed by the French law of July 1, 1901 and the decree of August 16, 1901 is founded between the members adherent to the present statutes.

The goal of the association is:
- to contribute to the structuring of the European Research Area for health, by, for example, favouring the use of grid technologies;
- to offer active support and guidelines for the extension of the association's members contribution to society;
- to supply information and other services relevant to the members of the association;
- to encourage co-operation between the members of the association, notably in the creation of effective networks of collaboration;
- to create partnerships of benefit to both higher education and scientific research in the field of the health in its broadest sense, both within Europe and in the rest of the world.
Its methods of operation are, chiefly :
- The organisation of conferences, congresses, colloquiums and any public or private demonstrations which serve either directly or indirectly, to achieve the goals of the association.
- The creation, administration and management of Web sites related, directly or indirectly, to the purposes pursued by the association.
- The creation, realisation and distribution of any existing or future helpful documents , which could contribute, directly or indirectly, to achieving the goal of the association.
- The supply of human help, whether that be expertise, subcontracting, partnership or sponsorship as well as the donation, loan, rent or sale of material where the material can be said to contribute, directly or indirectly, to achieving the goals of the association.
- The use of any existing or future means, which could contribute, directly or indirectly, to achieving the goals of the association and that are not against the laws and regulations of the countries in which the association operates or against the rules of ethics and respect for the human person.
L’association a pour objet :
- De contribuer à la structuration de l’espace de recherche européen pour la santé, par exemple, en favorisant l’utilisation des technologies de grilles de calcul ;
- d’offrir un soutien actif et des lignes directrices pour l’élargissement par les membres de l’association de leur contribution à la société ;
- de fournir information et autres services appropriés aux membres de l’Association ;
- d’encourager la coopération entre les membres de l’Association, notamment la création de réseaux de collaboration efficaces ;
- de susciter des partenariats pour l’enseignement supérieur et la recherche dans le domaine de la santé pris au sens large entre l’Europe et les autres parties du monde.
Ses moyens d’action sont, notamment :
- L’organisation de conférences, congrès, colloques ainsi que toute manifestation, publique ou privée, utile, directement ou indirectement, à la réalisation de l’objet de l’association.
- La création, l’administration et la gestion de sites web en rapport, directement ou indirectement, avec les buts poursuivis par l’association.
- La création, la réalisation et la diffusion de documents sur tout support, existant ou futur, permettant de contribuer, directement ou indirectement, à la réalisation de l’objet de l’association.
- La fourniture de prestations humaines, notamment par voie d’expertise, de sous-traitance, de partenariat ou de sponsoring ainsi que le don, le prêt, la location ou la vente de matériel dans la mesure ou cela contribue, directement ou indirectement, à la réalisation de l’objet de l’association.
- L’utilisation de tout moyen, actuel ou futur, propre à contribuer, directement ou indirectement, à la réalisation de l’objet de l’association et non contraire aux lois et règlements des pays dans lesquels il sera mis en œuvre ainsi qu’aux règles d’éthiques et de respect de la personne humaine.
The duration of the association is indefinite.
La durée de l'association est illimitée.
The head office of the association is located at 36, rue Charles de Montesquieu – F-63430 Pont-du-Château – France. The head office can be transferred following a decision by the board of directors, ratified by the general assembly.
Le siège social de l'association est fixé 36, rue Charles de Montesquieu – F-63430 Pont-du-Château – France. Il pourra être transféré par simple décision du conseil d'administration et ratifié par l’assemblée générale.
The association consists of physical or moral persons :
All members are members of the general assembly.
All members, unless otherwise stated in article 7, pay an annual subscription the amount of which is fixed every year by the board of directors and approved by the general assembly.
A member will be authorised to vote only if all due contributions have been paid.
For the first year, the subscription is set at: 0 € ( zero euros )
L'association se compose de personnes physiques ou morales :
Tous les adhérents sont membres de l'assemblée générale.
Tous les membres, sauf exceptions de l’article 7, paient une cotisation annuelle dont le montant est fixé chaque année par le conseil d'administration et approuvé par l'assemblée générale.
Un membre ne sera autorisé à voter que si toutes les cotisations dues ont été payées.
Pour la première année, le montant de la cotisation est fixé à : 0 € (zéro euro)
Any request for membership of the present association is subject to the approval of the board of directors who accept or reject the request without having to justify their decision whether favourable or not.
The moral persons wishing to become members of the association have to appoint by name a physical person who will represent them within the association and will exercise their rights
Toute demande d'adhésion à la présente association est soumise au conseil d'administration qui statue sur cette admission sans avoir à justifier sa décision quelle qu'elle puisse être.
Les personnes morales qui désirent adhérer à l’association doivent désigner nominativement une personne physique qui les représentera au sein de l’association et exercera leurs droits.
Honorary members are those who have contributed significantly to the association. They are appointed by the board of directors. They attend the general assembly without having to pay an annual subscription.
Benefactors are those who pay an entrance fee and an annual subscription fixed by the board of directors.
Active members are those who pay an annual subscription fixed by the board of directors.
Sont membres d'honneur, ceux qui ont rendu des services significatifs à l'association. Ils sont nommés par le conseil d'administration. Ils font partie de l'assemblée générale sans être tenu de payer une cotisation annuelle.
Sont membres bienfaiteurs ceux qui auront versé un droit d'entrée et une cotisation annuelle fixée par le conseil d'administration.
Sont membres actifs ceux qui auront versé une cotisation annuelle fixée par le conseil d'administration.
Membership is cancelled by:
- the death of a physical person, or, the dismantling for a moral person;
- the dismantling of the association;
- written resignation sent to the President of the association;
- non-payment of the annual subscription fee 10 months after its due date;
- exclusion pronounced by the general assembly, which rules supremely on cases of serious fault; behaviour causing material or moral damage to the association or which could damage the good reputation of the association; offences against the statutes or internal regulations; and only once the interested party will duly have been invited, by registered letter with signed receipt, to supply a written explanation.
In all cases, any subscriptions already paid remain the property of the association. The death, resignation , exclusion or dismissal of one or several member(s) does not terminate the association.
La qualité de membre se perd par :
- le décès pour une personne physique, ou, pour les personnes morales, la dissolution ;
- la dissolution de l'association ;
- démission adressée par écrit au Président de l’association ;
- non-paiement de la cotisation annuelle dans le délai de 10 mois après sa date d'exigibilité ;
- par exclusion prononcée par l'assemblée générale, qui statue souverainement, pour faute grave, comportement portant préjudice matériel ou moral à l'association ou de nature à nuire à la bonne réputation de l'association, infraction aux statuts ou au règlement intérieur et après que l'intéressé aura dûment été invité, par lettre recommandée avec accusé de réception, à fournir des explications écrites.
Dans tous les cas, la ou les cotisation(s) déjà payée(s) reste(nt) acquise(s) à l'association. Le décès, la démission, l'exclusion ou la radiation d'un ou de plusieurs membre(s) ne met pas fin à l'association.
The resources of the association include:
- the contributions of its members and entrance fees if required ;
- subsidies which could be granted by the State or the regional and local authorities;
- sums perceived in return for services rendered;
- donations and legacies;
- that which is not forbidden by the laws and the current regulations.
Les ressources de l'association comprennent :
- des cotisations de ses membres et des droits d'entrée s'il en est décidé ;
- des subventions qui pourraient lui être accordées par l'Etat ou les collectivités publiques ;
- des sommes perçues en contrepartie de prestations fournies ;
- des donations et legs ;
- toutes celles qui ne sont pas interdites par les lois et règlements en vigueur.
The organs of the association are:
- the general assembly
- the board of directors
- the administrative body
L’association a pour organes :
- l’assemblée générale
- le conseil d’administration
- le bureau
The general assembly includes all the members up to date with their subscriptions on the date of summons of the aforementioned assembly.
Only active members and benefactors have the right to vote and are eligible.
The ordinary general assembly meets at least once a year after notification by the president.
The general assembly is the supreme organ of the association.
Its scope of activity includes:
- the election of the board of directors;
- the revision and amendment of the statutes of the association in accordance with article 18 of the present statutes;
- the approval of the annual accounts, of the budget for the financial year to come, of the report of the President’s activities for the past year and any propositions of future activity, and the approval of the amount of subscriptions;
- the appointment of an auditor for the accounts on the recommendation of the board of directors.
It confers to the board of directors or to certain members of the administrative body any authorisation required to carry out operations within the remit of the association and for which their statutory powers would be insufficient.
Every member of the association can nominate another member of their choice to represent them. The deputy can represent no more than five people.
Minutes of the meeting must be taken.
L'assemblée générale comprend tous les membres à jour de leur cotisation à la date de convocation de ladite assemblée. Seuls les membres actifs et bienfaiteurs ont le droit de vote et sont éligibles.
L'assemblée générale ordinaire se réunit au moins une fois par an sur convocation du président.
L’assemblée générale est l’organe suprême de l’association.
Elle a pour compétences :
- l’élection du conseil d’administration
- la révision et amendement des statuts de l’association selon l’article 18 des présents statuts
- l’approbation des comptes annuels, du budget de l’exercice financier à venir, du rapport d’activité du Président pour l’année écoulée et des propositions d’activité faites pour l’avenir, ainsi que l’approbation du montant des cotisations
- la nomination du contrôleur des comptes sur recommandation du conseil d’administration.
Elle confère au conseil d'administration ou à certains membres du bureau toutes autorisations pour accomplir les opérations rentrant dans l'objet de l'association et pour lesquelles les pouvoirs statutaires seraient insuffisants.
Chaque membre de l’association peut donner pouvoir à un autre membre de son choix pour le représenter. Un mandataire ne peut détenir plus de cinq pouvoirs.
Un procès-verbal de réunion est établi.
The extraordinary general assembly meets when convoked by the president or his representative:
- at the request of a quarter of the members of the association;
- at the request of the president.
The agenda must detail every subject which must be dealt with.
Minutes of the meeting must be taken.
L'assemblée générale extraordinaire se réunit sur convocation du président ou de son représentant :
- sur demande d'un quart des membres de l'association ;
- sur demande du président.
L'ordre du jour doit préciser chaque question qui devra être traitée.
Un procès-verbal de réunion est établi.
The association is steered by a board of directors elected by the general assembly.
In case of a vacancy in one of its seats, the board of directors provides a temporary substitute for the period until the next general assembly.
In case of resignation or loss of membership of one of the board of directors, a new member is elected by the absolute majority of those present at the general assembly.
The board of directors can appoint consultative members, members of the association and\or third parties.
The board of directors meets at least twice a year.
The quorum is half of the members of council.
Decisions are taken with the simple majority of the present or represented members.
Every member of the board can nominate a member of the association of their choice to represent them.
The deputy can represent no more than three people.
L'association est dirigée par un conseil d'administration élu par l'assemblée générale.
En cas de vacance de l’un des sièges du conseil d’administration, celui-ci pourvoit provisoirement au remplacement de ses membres jusqu'à la prochaine assemblée générale.
Le renouvellement du conseil d’administration à lieu, par un vote de l’assemblée générale à la majorité absolue des présents, en cas de démission ou de perte de la qualité de membre de l’un de ses membres.
Le conseil d'administration peut s'adjoindre des membres consultatifs, membres de l'association et/ou tiers.
Le conseil se réunit au moins deux fois l’an.
Le quorum est de la moitié des membres du Conseil.
Les décisions se prennent à la majorité simple des membres présents ou représentés.
Chaque membre du conseil d'administration peut donner pouvoir à un membre de l'association de son choix pour le représenter.
Un mandataire ne peut détenir plus de trois pouvoirs.
The scope of activity of the board of directors is:
- to be the main forum of discussion of the association where the activities in line with the structuring of the European Research Area are determined and where any declarations made in the name of the association are approved;
- to define the priorities and guidelines concerning policy issues and service to the members;
- to apply the decisions of the general assembly and make any necessary formal administrative decisions between two meetings of the aforementioned assembly;
- to receive and approve the budget and the annual accounts of the association before their submission to the general assembly;
- On the advice of the administrative body, the board of directors:
- proposes the amount of the subscriptions
- authorises loans proposed by the administrative body
- decides on the admittance or exclusion of members
- establishes as an electoral committee
- approves the agenda of the general assembly
- recommends the appointment of the auditors .
- It manages all the business and the patrimony of the association, respecting the present statutes and within the terms and the limits of the law.
Le conseil d’administration a pour compétences :
- d’être le forum de discussion principal de l’association où se déterminent les positions touchant la structuration de l’espace européen de la recherche et où s’approuvent les déclarations faites au nom de l’association ;
- de définir les priorités et lignes directrices touchant les questions politiques et le service aux membres ;
- d’appliquer les décisions de l’assemblée générale et prendre toute décision administrative formelle nécessaire entre deux réunions de ladite assemblée ;
- de recevoir et approuver le budget et les comptes annuels de l’association avant leur soumission à l’assemblée générale ;
- sur avis du Bureau, le Conseil :
- propose le montant des cotisations
- autorise les emprunts proposés par le Bureau
- décide de l’admission ou de l’exclusion des membres
- se constitue en comité électoral
- approuve les ordres du jour de l’assemblée générale
- recommande la nomination de l’organe de contrôle
- Il gère toutes les affaires et le patrimoine de l'association, dans le respect des présents statuts et dans les termes et limites de la loi.
The administrative body is the executive organ of the board of directors.
The board of directors chooses from among its members an administrative body consisting of a president, a treasurer, and a secretary. If necessary, it can also appoint a vice-president, an assistant treasurer and an assistant secretary.
President
The president, holding the power of representation and signature in the name of the association, represents the association in all the acts of civil, or administrative life, and in justice, if necessary. They can make any delegation of power and total or partial signature to another member of the administrative body and, for a specific question and a limited time, to another member of the board of directors. They are helped in their tasks by the vice-president(s) if there is one.
In case of incapacity , the president is temporarily replaced by the vice-president if there is one, the treasurer, or the secretary, who in this case holds the same powers.
Secretary
The secretary is in charge of all correspondence and the archives. They draft the minutes of the meetings. They are helped in their tasks by the assistant secretary if there is one.
Treasurer
The treasurer is in charge of the management of the patrimony of the association. They make any payments and receive any revenue under the supervision of the president. They keep a regular account of all transactions and report to the annual general assembly which verifies the management of the finances. They are helped in their tasks by the assistant treasurer if there is one.
The administrative body , or the board of directors, meets every time the interest of the association requires it or at the request of the president or of at least three of its members. Decisions are taken with the absolute majority of the members present, whether that be physically present or in contact with the participants (by conference call, for example), and without the use of any proxy votes. If the vote is equal , the president has the casting vote.
Minutes of the meeting must be taken.
Le bureau est l'organe exécutif du conseil d'administration.
Le conseil d’administration choisit parmi ses membres, un bureau composé d'un président, d'un trésorier, et d'un secrétaire. Si besoin est, il pourra également désigner un vice-président, un trésorier-adjoint et un secrétaire-adjoint.
Président
Le président, ayant pouvoir de représentation et de signature au nom de l'association, représente l'association dans tous les actes de la vie civile, administrative, et en justice, s'il y a lieu. Il peut faire toute délégation de pouvoirs et de signature totale ou partielle à un autre membre du bureau et, pour une question déterminée et un temps limité, à un autre membre du conseil d'administration. Il est aidé dans ses tâches par le(s) vice-président(s) s’il en est.
En cas d'empêchement, le président est remplacé temporairement par le vice-président s’il en est un, le trésorier, ou le secrétaire, qui dispose alors des mêmes pouvoirs.
Secrétaire
Le secrétaire est chargé de tout ce qui concerne la correspondance et les archives. Il rédige les procès-verbaux des délibérations. Il est aidé dans sa tâche par le secrétaire adjoint s’il en est un.
Trésorier
Le trésorier est chargé de tout ce qui concerne la gestion du patrimoine de l'association. Il effectue tous paiements et perçoit toutes recettes sous la surveillance du président. Il tient une comptabilité régulière de toutes les opérations et rend compte à l'assemblée générale annuelle qui statue sur la gestion. Il est aidé dans ses tâches par le trésorier adjoint s’il en est un.
Le bureau, ou le conseil d'administration, se réunit chaque fois que l'intérêt de l'association l'exige, sur la demande du président ou de trois au moins de ses membres.
Les délibérations sont prises à la majorité absolue des membres présents, physiquement ou en liaison avec les participants (téléconférence, par exemple), et à l'exclusion de toute procuration de vote. En cas de partage, la voix du président est prépondérante.
Il est tenu un procès-verbal des séances.
The members of the board are entitled to the reimbursement of their expenses on presentation of documentary evidence, and with the agreement of the president.
Travelling costs are reimbursed in accordance with the tax authority scale.
The president can be paid for the exercise of their mandate. The amount of the payment is determined every year by the board of directors and approved by the general assembly.
Les membres du conseil d'administration ont droit au remboursement de leurs frais sur justificatifs, et après accord du président.
Les frais de déplacement sont remboursés selon le barème de l'administration fiscale.
Le président peut-être rémunéré pour l’exercice de son mandat. Le montant de la rémunération est déterminé chaque année par le conseil d’administration et approuvé par l’assemblée générale.
Internal regulations will be established by the board of directors and approved by the general assembly in order to define the method of execution of the present statutes.
These regulations apply to all the members of the association.
Un règlement intérieur sera établi par le conseil et approuvé par l'assemblée générale pour fixer les modalités d'exécution des présents statuts.
Il s'impose à tous les membres de l'association.
The statutes can be modified only by a general assembly summoned especially for this purpose. The modification will be confirmed by a favorable vote of three quarters of the present or represented members, representing at least 75 % of the members registered by the association.
Les statuts ne peuvent être modifiés que par une assemblée générale convoquée spécialement dans ce but. La modification sera entérinée par un vote favorable des trois quart des membres présents ou représentés, représentant au moins 75 % des membres inscrit de l’association.
Should the dismantling of the association be agreed by at least two thirds of members present at the general assembly, one or more receivers are appointed by the assembly, and the assets, if necessary, are allocated according to article 9 of the french law of July 1st, 1901 and to the decree of August 16th, 1901.
En cas de dissolution prononcée par les deux tiers au moins des membres présents à l'assemblée générale, un ou plusieurs liquidateurs sont nommés par celle-ci, et l'actif, s'il y a lieu, est dévolu conformément à l'article 9 de la loi française du 1er juillet 1901 et au décret du 16 août 1901.
The president, or their representative, is appointed to carry out all the statutory formalities of declaration and publication in accordance with the french law of July 1st, 1901 and the decree of August 16th, 1901, both at the time of the creation of the association and during its entire existence.
Completed in Clermont-Ferrand in 8 original copies (5 originals for the members of the board of directors, an original for the association and two originals intended for the registration of copyright).
Le président, ou son représentant, est mandaté pour accomplir toutes les formalités de déclaration et de publication prévues par la loi française du 1er juillet 1901 et par le décret du 16 août 1901, tant au moment de la création de l'association qu'au cours de son existence ultérieure.
Fait à Clermont-Ferrand en 8 exemplaires originaux (5 originaux pour les membres du bureau, un original pour l'association et deux originaux destinés au dépôt légal).

The Annual General Meeting (AGM) of the HealthGrid Association is held every year to elect the Boards of Directors and inform their members of previous and future activities.
